1. General
These Terms & Conditions (“Terms”) govern all sales, deliveries, pickups, and services provided by Prime Materials (“Seller,” “we,” “us,” or “our”). By purchasing products or services from Prime Materials, the customer (“Buyer”) agrees to be bound by these Terms unless otherwise agreed to in writing.

2. Product Information & Specifications
All product descriptions, dimensions, specifications, and pricing are subject to change without notice. Construction materials may vary in color, texture, size, weight, and finish due to manufacturing tolerances and natural material characteristics. Such variations are not considered defects.
Buyer is responsible for verifying all quantities, specifications, and suitability of materials prior to purchase and use.

3. Pricing & Payment Terms
All prices are subject to change without notice. Payment is due in full at the time of delivery or pickup unless otherwise agreed to in writing. Prime Materials reserves the right to withhold delivery, suspend services, or cancel orders due to non-payment or past-due balances.
Buyer is responsible for all applicable taxes, fees, and permits unless otherwise stated.

4. Delivery, Pickup & Risk of Loss
Risk of loss transfers to Buyer upon delivery to the jobsite or pickup from Prime Materials’ facility. Buyer is responsible for ensuring proper site access, unloading conditions, and safe handling of materials.
Prime Materials is not responsible for delays caused by weather, site conditions, equipment availability, traffic, or circumstances beyond our control.

5. Inspection, Shortages & Damages
Buyer must inspect all materials immediately upon delivery or pickup. Any shortages, damages, or discrepancies must be reported within 24 hours of delivery or pickup. Claims submitted after this period may not be honored.

6. Returns
Returns are subject to approval by Prime Materials and may be subject to restocking fees. Special-order, custom, or made-to-order products are non-returnable. Returned materials must be unused and in resalable condition.

7. No Professional or Engineering Advice
Prime Materials does not provide engineering, architectural, or installation advice. Buyer is solely responsible for compliance with all applicable codes, standards, regulations, and manufacturer guidelines related to the handling, installation, and use of materials.

8. Disclaimer of Warranties
All products are sold “as is” and “as available.” Prime Materials disclaims all warranties, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose, unless otherwise stated in writing.

9. Limitation of Liability
Prime Materials shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to delays, loss of profits, or project downtime. Prime Materials’ total liability, if any, shall not exceed the purchase price of the materials supplied.

10. Indemnification
Buyer agrees to indemnify, defend, and hold harmless Prime Materials from any claims, damages, losses, or expenses arising from improper handling, storage, installation, or use of materials.

11. Force Majeure
Prime Materials shall not be liable for failure or delay in performance due to events beyond reasonable control, including but not limited to acts of God, weather conditions, supply chain disruptions, labor shortages, or transportation delays.

12. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of the state in which Prime Materials operates.

13. Changes to Terms
Prime Materials reserves the right to modify or update these Terms & Conditions at any time without prior notice. Continued business with Prime Materials constitutes acceptance of the current Terms.
